Wyoming and Delaware frequently appear in searches about forming a US LLC from abroad. Neither is automatically the best choice for every founder. A useful comparison begins with where the company will operate, how it will be owned and what ongoing administration you are prepared to manage.
Start with the business, then compare the states
List your planned activities, owner locations, employees, inventory and physical premises. If your operations connect the business to another state, ask a qualified adviser whether additional registration is required. A low formation fee does not settle that question.
Consider future plans as well. A solo consultant and a business negotiating investment may need different advice about entity type and governing documents. Choosing a familiar state name is not a substitute for understanding those plans.
Compare initial and recurring charges separately
Wyoming currently lists a $100 LLC formation filing fee. Its annual report license tax has a $60 minimum and can be higher based on Wyoming assets. Registered-agent subscriptions and any professional services are separate budget items.
Delaware changed several business fees through House Bill 400, signed in 2026. The law raised the LLC annual tax from $300 to $400, effective for the 2026 tax year. Understand what a registered agent does
Both formation processes involve registered-agent arrangements. Confirm who will receive official documents and how urgent notices reach you abroad. Do not assume that an agent's address is accepted as your operating address by every bank or payment platform.
Do not choose a state only to obtain a payment account
An account application is a separate review. The formation state is one piece of the business record, not an assurance of approval. Identify the services you need, then verify provider eligibility before building your business plan around them.
Your website should explain the real business regardless of its formation state. Customers benefit from clear services, contact details and policies. A mailing address or a state name alone will not answer those questions.
Make the decision reviewable
Write down why you chose the state and the assumptions behind your budget. Save the official sources and note when you checked them. Revisit the decision if your business model, ownership or operating locations change.
