LLC Formation

What Documents Do You Need to Form a US LLC as a Foreigner?

Prepare your US LLC document checklist: business details, ownership information, identification and the separate requirements for EIN and banking.

A well-organized document pack can reduce back-and-forth during LLC formation. The important distinction is that a state filing office, a formation provider, the IRS and a bank may request different information. Do not assume that one generic checklist covers every stage.

Prepare the company information first

Record the proposed legal name, preferred state, business activity, owner details and appropriate addresses. Keep the spelling of names consistent with the underlying documents. If you are still choosing a name, prepare an alternative before the application is assembled.

As a concrete example, Wyoming's Articles of Organization request the LLC name, registered-agent details, mailing address and principal-office address, together with the organizer's signature and agent consent. Other states use their own forms and requirements.

Gather identification for the service process

Odies Digital's published service checklist calls for valid identification, proof of address and basic owner and business information. The team provides the requested details after your order. These are service-process requirements; they should not be described as documents every state universally demands for a public LLC filing.

  • Use a readable copy of the requested identification.
  • Check that proof-of-address information is current and consistent.
  • Provide complete owner names and contact information.
  • Explain differences between legal names and trading names.
  • Use the designated secure submission process for private records.

Document ownership and decision-making

For more than one owner, prepare an ownership schedule and confirm that the proposed percentages total 100%. Discuss contributions, responsibilities, authority to sign contracts and how disagreements will be addressed. Have the appropriate operating agreement prepared or reviewed for the business.

A simple example is a two-person company where one founder contributes most of the initial capital and the other handles daily delivery. Writing down the arrangement early helps the formation team work from a settled set of facts rather than conflicting messages.

Keep the EIN stage separate

The EIN application needs accurate company and responsible-party information. Use the official IRS instructions to determine what belongs on the form. Do not upload a passport publicly or publish a tax number on your website just because those records exist in your company folder.

Expect a separate banking review

Banks and financial-service providers can request additional evidence. Keep approved formation records, the EIN confirmation and a description of your business ready. Ask the selected provider what it accepts before paying for translations, certifications or additional services that may not be necessary.

Prepare your public content at the same time

Build a second folder for materials you intend to publish: a company description, service list, logo, professional contact details and approved photographs. Keep this separate from identification and tax files. It makes the website project faster while reducing the chance of sensitive documents being published accidentally.

Odies Digital LLC can guide your formation submission and help create the business website as a separate service. Send the team a clear summary of what is already prepared and what is still missing so the next steps can be organized.
